Foundation/AGM14/Proxy Voting

There is no proxy voting in 2014. Voting proceedure has moved to STV, by way of electronic mail. This permits all members to vote in the same way, whether they are in attendance at the AGM or remotely.

Voting members (Members and Associate Members) will receive ballot links via email for the ballot measures on which they are entitled to vote.

What you can vote on

If you are a paid up Member of the OpenStreetMap Foundation you are able to vote for the Election to the Board, the Special Resolution and the decision on membership fees.

If you are a paid up Associate Member of the OpenStreetMap Foundation you are able to vote for the Election to the Board and the decision on membership fees. Associate Members are not entitled to vote on Special Resolutions.

There three agenda items that require a vote:

Item - Election to Board

Here you can vote for candidates for the three available seats. Candidates are on the list (http://wiki.openstreetmap.org/wiki/Foundation/AGM14/Election_to_Board).

Further details will be added here due to the use of STV for the first time in an OSMF Board election.

Item - Three Special Resolutions - Revised Articles of Association

Special Resolutions are presented to Members of the Company for acceptance. Associate Members do not vote on Special Resolutions.

The Articles of Association have been edited in three places. The revisions have been reviewed and recommended by the Board and Foundation legal counsel. Each revision to the AoA is presented as a separate Special Resolution. The text of the Special Resolution follows:

The AGM decides:

1. That the articles of association of the Company shall be modified by
deleting from article 85 the sentence “The provisions of sections 283
and 284 of the Act shall apply and be observed.”

2. That the articles of association of the Company shall be modified by
replacing the phrase “is no less than 2 and no more than 8” in article
35 by the phrase “falls between the limits set by article 78 at the time
of the election”.

3. That the articles of association of the Company shall be modified by
inserting the sentence “A general meeting must be held within 18 months
of the preceding general meeting.” in, and before the existing text of,
article 31.

Item - Decision on membership fees

This agenda item concerns OpenStreetMap Foundation membership fees. The Board seeks permission from the membership to waive the membership fee for some Associate Members under some conditions.

The AGM takes the following decision with regards to membership fees:

1. The membership fee and conditions for regular and corporate
membership remain unchanged.
2. The membership fee for associate membership, which normally is tied
to the regular membership fee, may be waived if paying the fee would
constitute an unreasonable burden to the member, either because of
financial hardship or because of the lack of a suitable money transfer
facility.
3. In order to be eligible for the membership fee waiver, the applicant
may be required to contribute something else of value (e.g: time, …) to
the Foundation, for example write a paragraph on mapping in their region.
4. Just like paid membership, membership under the membership fee waiver
programme must be renewed annually.
5. Associate members who have joined under the membership fee waiver
programme have the same rights as any associate member and the fact that
they have joined under the membership fee waiver programme will not be
public.


How to vote

There is no proxy voting.

Voting members will receive email from the on-line voting service with links to the on-line ballot for each ballot measure.
